1) Acceptance of Terms

By accessing or using the Service, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2) Eligibility

You must be 13 years or older to use the Service. If you are a minor in your jurisdiction, you may use the Service only with the consent and supervision of a parent or legal guardian who accepts these Terms on your behalf.

3) Accounts

You must create an account to use most features. Authentication and account management are provided by Clerk. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

4) Subscriptions, Free Trial & Billing

Plans & Auto-renewal: We offer monthly and annual subscription plans that auto-renew until canceled.

Free Trial: A 7-day trial requires a valid payment method and auto-converts to a paid plan unless you cancel before the trial ends.

Billing: Subscription billing is handled via Stripe.

Price Changes: We will provide 30 days' notice before price changes that affect you.

Taxes: Users are not responsible for taxes. Any required taxes are handled on our side and/or included in the price where applicable.

5) Cancellation & Refunds

How to cancel: You can cancel in-app via Stripe at any time.

Effective timing: Cancellation takes effect at the end of the current billing period; you retain access until then.

Refunds: No refunds (including for partial periods), except where required by law.

6) Fair Use & Limits

We currently apply no usage limits (e.g., messages, audio minutes, device caps). We may introduce reasonable limits in the future to protect service stability; if so, we'll update these Terms and provide notice when required.

7) Content, Outputs, and Licenses

Your Inputs: You may submit prompts, text, and audio (processed but not stored as raw files) and other materials ("Inputs").

Outputs: The Service (via AI models) may generate content ("Outputs").

Ownership: You do not obtain ownership of Outputs under these Terms.

Your License from Us: We grant you a non-exclusive, non-transferable, revocable license to use, display, and download Outputs for your personal, non-commercial learning purposes within the Service.

Your License to Us: You grant us a worldwide, non-exclusive, royalty-free license to host, process, and display Inputs and Outputs solely to operate and improve the Service.

Anonymized/Aggregated Use: We may use anonymized or aggregated information to improve features, quality, and performance.

8) Acceptable Use

You agree not to:

  • Violate any law or third-party rights;
  • Post or generate illegal, infringing, harassing, hateful, or otherwise abusive content;
  • Attack or disrupt the Service (malware, DDoS, scraping beyond robots.txt, circumventing rate limits/safety systems);
  • Reverse engineer, decompile, or attempt to access source code or model parameters;
  • Benchmark or publish performance tests without our prior written consent;
  • Create accounts or send communications in bulk (spam) or via unauthorized automation.

We may remove content or suspend/terminate accounts for violations.

9) Third-Party Services

The Service integrates third-party services, including Clerk (auth/billing), OpenAI (model inference), Neon (database), and Vercel (hosting/analytics). Your use of those services may be subject to their terms, which are incorporated by reference.

10) Service Changes & Beta Features

We may modify, suspend, or discontinue features at any time. Beta or experimental features are provided "AS IS" and may be changed or withdrawn without notice.

11) Data Export on Exit

Data export is not currently available. If you plan to close your account, please retain any information you need before cancellation.

12) Intellectual Property

We (and our licensors) own the Service, including software, designs, templates, and all intellectual property rights. Except for the limited license in Section 7, no rights are granted. You may not resell, sublicense, or commercially exploit the Service without our prior written consent.

13) Suspension & Termination

We may suspend or terminate access immediately for breach, abuse, or non-payment (no advance notice period). You may terminate at any time via in-app cancellation (Section 5).

14) Disclaimers

The Service and all Outputs are provided "AS IS" and "AS AVAILABLE." We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation or that Outputs will be accurate or suitable for any purpose.

15) Limitation of Liability

To the maximum extent permitted by law, our total liability for all claims arising out of or relating to the Service or these Terms is limited to the fees you paid to us for the Service in the 12 months immediately preceding the claim. We are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenues, or data.

16) Indemnification

You agree to indemnify and hold us harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms or applicable law.

17) Governing Law & Dispute Resolution

These Terms are governed by Japan law, and disputes will be resolved exclusively in the Tokyo District Court. Court litigation applies (no arbitration clause).

18) Changes to These Terms

We may update these Terms from time to time. For material changes, we will provide notice (e.g., an in-app banner or email when required). Changes take effect upon posting unless otherwise stated.

19) Assignment; Severability; Force Majeure

Assignment: We may assign these Terms (e.g., in connection with a merger, acquisition, or asset sale). You may not assign these Terms without our prior written consent.

Severability: If any provision is found unenforceable, the remainder will remain in full force and effect.

Force Majeure: Neither party is liable for delays or failures caused by events beyond its reasonable control (including acts of God, natural disasters, war, terrorism, labor disputes, internet or utility failures, or government actions).
